1. Introduction
This Digital Advertising Terms and Conditions agreement ("Agreement") governs the placement and delivery of advertising ("Ads") by Clicks Pte. Ltd. ("Clicks®", "We", "Us", "Our") on our platform, located at https://clicks.realestate and its sub-domain, and its corresponding web app, iOS app and Android app (the "Platform").
2. Acceptance of Terms
By placing any Ads on the Platform, you ("Advertiser", "You") agree to abide by these terms and conditions.
3. Advertisement Content
The Advertiser assumes all responsibility for the content of the Ads, including text, images, and multimedia.
4. Prohibited Content
We reserve the right to refuse any Ads that contain illegal, offensive, misleading, or defamatory content, or that violate the rights of third parties.
5. Advertising Fees
The Advertiser agrees to pay all applicable fees for Ads placed on the Platform, as specified by Clicks®.
6. Placement and Delivery
We make no guarantees regarding the placement or delivery of Ads, and we reserve the right to adjust the placement and delivery of Ads at our sole discretion.
7. Cancellation Policy
If the Advertiser wishes to cancel any Ads, they can do so by terminating the recurring payment for the Ads via Our payment service provider and notify Clicks® in writing. No partial or full refund would be made upon cancellation. The Ads will continue to be served on the Platform until at least the end of the period of the Advertiser's final payment before cancellation.
8. Indemnification
The Advertiser agrees to indemnify, defend, and hold harmless Clicks® and its directors, officers, employees, and agents from any and all claims, damages, liabilities, costs, and expenses arising from the placement of Ads on the Platform.
9. Limitation of Liability
Clicks® will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from this Agreement.
10. Licenses and Intellectual Property
a. License to Use Advertiser's Materials:
By submitting Ads to the Platform, the Advertiser grants Clicks® a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and otherwise exploit the Ads and all materials that you provide to Us in connection with the Ads, in all formats and in all media now known or hereafter devised.
b. Advertiser's Warranty and Representation:
The Advertiser represents and warrants that the Advertiser has all necessary rights, licenses, and permissions to grant the above license and that the Ads and any materials provided by the Advertiser do not and will not infringe any intellectual property rights or other rights of third parties.
c. Ownership of Clicks® Materials:
All materials on the Platform, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto (collectively, "Clicks® Materials"), are the exclusive property of Clicks Pte. Ltd. Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such Intellectual Property Rights, and the Advertiser agrees not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Clicks® Materials.
11. Advertiser's Intellectual Property
All trademarks, service marks, trade names, logos, and other designations of the Advertiser (collectively, "Advertiser's Marks") are the sole property of the Advertiser. Nothing in this Agreement grants Clicks® any right, title, or interest in Advertiser's Marks. The use of Advertiser's Marks on the Platform will inure solely to the benefit of the Advertiser.
12. Governing Law
This Agreement will be governed by the laws of the jurisdiction in which Clicks Pte. Ltd. is incorporated.
This Digital Advertising Terms and Conditions agreement is subject to change without notice. The Advertiser agrees to review these terms and conditions regularly to ensure they are aware of any changes.
By placing Ads on the Platform, the Advertiser signifies their acceptance of these Digital Advertising Terms and Conditions.
